Two game-changers for drillers reaching investors The JOBS Act of 2012 became law in April 2012, lifting the long-time ban on advertising a drilling deal widely to accredited investors (investors who are relatively wealthy with specific minimum net worth or income). The ban on general advertising to non-accredited investors will remain effect. Another feature of the JOBS Act is that it permits "crowd investing", an outgrowth of social networking, whereby many people can pool investment funds online. The amount a crowd investor can invest will be limited based on their income or net worth. The oil and gas deal promoter cannot advertise the terms of their crowd funding offer, except for directing people to the independent web portal handling the investment transaction. Both the lifting of the advertising ban to accredited investors and creation of crowd investing for all investors have certain restrictions, and will not go into effect until the SEC publishes detailed rules in mid to late 2012. Both changes in securities laws are likely to open up direct investment in drilling projects to a large new segment of the investing population. Check back here for future updates.
